Terms of Promotions

Effective March 7, 2014

  1. You refers to the person requesting the Promotion and the legal entity the person represents. We and Us, refers to Kodoom.com and Kodoom LLC.
  2. You must be over 18 years of age.
  3. You agree to Kodoom.com's Terms of Use and Privacy Policy. Violating any of the Terms will result in cancellation of Your request/order without any refunds.
  4. All submitted images are subject to scaling to fit Kodoom layout.
  5. You understand that Geo-targeted promotions would be visible, on a rotational basis with other promotions, in a Geo-targeted area close to the location of the event, business, local ad or any other location(s) specified. Geo-targeting is approximate and done by identifying the location of user IP and matching it to closest listing using our proprietary algorithms and based on data from location matching software(s). We do not guarantee the accuracy of the Geo-targeting, local email distribution system and/or service. We make no commitments as to how many users will see Your listing or Promotion.
  6. You need to submit details of your event, ticketing needs, business, or local ad in compliance with our standards and specs. You agree to be responsible for taxes, local or otherwise, related to your event or sale of tickets. We do not collect taxes on your product, event or ticket sales.
  7. All Spots are reserved on a first-come first-served basis and approved at the discretion of Kodoom Management. Any Rates and terms outlined in this Agreement or elsewhere will become final (for Paid Ads) upon receiving a confirmation on your purchase order from our payment processing center.
  8. You agree not to use Our website to promote third parties or other websites, products or services other than exactly what is being promoted and listed in this Agreement. You may list and link website address if approved by Us.
  9. You accept that We are not responsible for any errors, omissions, inaccuracies, software bugs, system malfunctions or crashes, or website unavailability. From time to time the site may be brought down (shut down) for maintenance.
  10. You accept that while entering any data or text on forms or pages, on Kodoom.com, no HTML, Javascript or other programming code is allowed, and some characters from the data or text which you have entered, may be removed or replaced.
  11. You understand and accept that we may revise or change these Terms at any time. The current version is available on Kodoom.com or upon request.
  12. You agree that Events, Businesses, and Local Ads, which you post on this website are actual Events, Businesses, and Local Ads. All Events need to have specific start date and end date and a specific location where the event will be held. All Businesses and Local Ads need to have a specific location where the Business or Local Ad is conducted from.
  13. By posting or promoting on Kodoom.com You are giving Us permission to advertise Your Event(s) or Business or Local Ads, and/or the content of postings, using any means or methods available to Us. You also give Us permission to use your information/content for the purposes of promoting or advertising Kodoom.com
  14. You agree that for recurring events, each occurrence is counted as one separate event, unless We agree to treat them all as one event. You agree that for multiple locations of a Business or Local Ad, each location is counted as one separate location unless We agree to treat them all as one Business or Local Ad.
  15. You agree not to post/upload anything other than information directly related to the Event or Business or Local Ad.
  16. You agree that You are fully responsible for managing the Events or Business(es) or Local Ad(s) which you have posted. You are responsible for collection of any funds, taxes, issuing re-funds, insurance, compliance, and safety of the customers and/or other attendees/customers.
  17. You agree to resolve any disputes arising with Kodoom users and customers directly with them and without involving Us.
  18. You agree to provide accurate and direct contact information, when posting or promoting with Us. You also agree that if You fail to enter full and truthful information about your Event or Business or Local Ad and/or do not provide full and valid response to data fields on the forms, you Ad data may be deleted.
  19. You agree that Kodoom users may rate your promoted service or product, and provide feedback which can be read by all other users of the site and over the Internet. Your service or product may also be covered in Blogs, Reports or News. You agree not to hold Us or the users responsible for any consequences or damages caused by ratings, feedbacks, blogs, reports or news.
  20. You agree that Your listed or promoted event cannot exceed 7 days in duration unless approved by Us.
  21. You agree that within 5 days prior to the Promotion start date, no changes can be made to its details unless approved by Us. You can request a cancellation of a Promotion at any time. You will receive a credit refund (for future promotions with Us) in the amount of 50% of the original purchase price (minus any tax, processing and handling fees) if You cancel the Ad at least 30 days prior to the Ad start date. After that, You are not entitled to any refund.
  22. You agree that once an Ad has been canceled, it cannot be re-activated. You can however purchase a new Ad under a new Order.
  23. You agree that if You fail to enter full information about your event and/or do not provide full and valid response to data fields on the forms, you event and/or other data may be deleted. You also accept full responsibility for the content of your listing, such as copyrighted materials, artwork, third party information, etc.
  24. You agree that any and all disputes, controversies or claims arising under or in any way related to your relationship with Kodoom or relating to the general validity or enforceability of any of the provisions hereof, shall be governed by the laws of the United States of America, and the home State in which Kodoom LLC is incorporated in, without regard to its conflict of law provisions. If a dispute arises that is required to be adjudicated in court, You and Us agree to submit to the personal and exclusive jurisdiction of the courts located within these jurisdictions.
  25. For ticketed events: Kodoom.com will provide an online ticketing module that will accurately manage ticket sales and inventory, and secure payment processing, for the Event(s) subject to Terms of Service below.
    • Client to supply MINIMUM 10 Tickets in Acceptable (good) Locations and provide specific and clear Ticket/Event Terms (Exchanges/Refunds Policy, Age limits, Dress Code, etc.)
    • In case of event cancellation or changes, Client is responsible for immediate notification and for promotional and ticket fees payable to Kodoom.com
    • Proceeds from Sales of tickets (net of fees) will be sent to Client’s bank account (US Only) or Paypal within 6-7 business days after the event date upon satisfactory resolution by Client of any ticket buyer complaints.
    • Client admits full responsibility for Event information, execution and management, post-sales ticket refunds and exchanges, customer satisfaction, and all legal, tax, and ethical obligations associated with the Event. Client agrees to release Kodoom.com from any claim or liability related to the Event management and execution. Kodoom.com will not be responsible for acts of Nature, outages and problems beyond control of Kodoom.com
    • Prices cannot be changed on ticket categories once set up, but new ticket categories can be added
    • Prices cannot be higher than other channels or websites
    • Kodoom reserves the right to issue full or partial refunds to ticket buyers in special cases such as medical or personal emergencies. All such refunded tickets will be returned to sales inventory for re-sale to public.
